1) Scope of Application

1.1 These General Terms and Conditions for the participation to the “Satori Process” shall apply to all contracts concluded between a consumer or a trader (hereinafter referred to as “Client”) and the respective organizer in charge (“Organizer”) relating to all seminars / trainings / (individual) sessions (hereinafter referred to as “events”) facilitated by Rafael Ebner (“Facilitator”) presented via this website, or the Organizers webpresence. The inclusion of the Client’s own conditions is herewith objected to, unless other terms have been stipulated.

1.2 A trader pursuant to these Terms and Conditions is any natural or legal person or partnership with legal capacity acting in the performance of a commercial or self-employed occupational activity when concluding a legal transaction.

1.3 A consumer pursuant to these Terms and Conditions is any natural person concluding a legal transaction for a purpose attributed neither to a mainly commercial nor a self-employed occupational activity.

2) Services provided by the Organizer

2.1 The Organizer offers Live Events, Online Events and (individual) online sessions. The content of the events is published in the descriptions on this website as well as the websites of the Organizers.

2.2  In Online Events and (individual) sessions, the services are offered exclusively in the form of online video conferences with the use of the appropriate technical means. In order to provide a faultless participation in the online video conference, the system of the Client has to fulfil certain minimal requirements, which are shared on registration by the Organizer. It is the responsibility of the Client that these system requirements are met. The Organizier is not liable for technical difficulties that are due to the insufficient fulfilment of the system requirements by the Client.

2.3 At live events the Organizer provides the services of Rafael Ebner as a trained facilitator of the Satori process in personal contact with the Client in venues selected by the Organizer.

2.4. The Organizer may also provide his services with the help of qualified personnel chosen by him. Thereby he may utilize the services of third parties (sub-contractors), who are working on behalf of of the Organizer. Unless otherwise announced in the event description of the Organizer, the Client is not entitled to chosse a certain person for the realization of event that he/she wishes to attend.

2.5 The Organizer renders his services with care and conscience. She/He  is not expected to achieve a certain amount of success. Particularly the Organizer does not garantee, that a specific success in learning will happen for the Client or that a specific performance target will be reached by the Client. Ultimately, this also depends on the personal involvement and the will and motivation of the Client, on which the Organizer has no influence.

3) Prices and Payment Conditions

3.1 Unless otherwise stated in the Organizer’s offer, prices indicated are total prices including the statutory sales tax.

3.2 At live events the cost of travel, accommodation and meals are not included in the price and are to be borne by the Client, if nothing else results from the course description of the Organizer.

3.3 Payment can be made using one of the methods mentioned in the Organizer’s online shop.

3.4 If prepayment by bank transfer has been agreed upon, payment is due immediately after conclusion of the contract, unless the parties have arranged a later maturity date.

3.5 When payments are made using a payment method offered by PayPal, handling of payments takes place via the payment service provider PayPal ((Europe) S.a. r.l. et Cie, S.C.A., 22-24 Boulevard Royal, L-2449 Luxembourg (hereinafter called “PayPal”) subject to the PayPal terms of use which can be viewed at: https://www.paypal.com/de/webapps/mpp/ua/useragreement-full.
In case the Client has no PayPal account, the conditions applicable for payments without PayPal account will be effective. They can be viewed at: https://www.paypal.com/de/webapps/mpp/ua/privacywax-full

4) Participation Authorization, Transfer of Contract

4.1  Only the person mentioned in the registration is eligible to participate. A transfer of contract to a third person is only possible with the consent of the Organizer.

4.2 If a third person enters into the contract between the Client and the Organizer, so he and the Client shall be jointly and severally liable for the participation fee and for any additional costs incurred by the participation of the third person.

5) Below the Minimum Number of Participants

5.1 The Organizer may determine a minimum number of participants for his events. When determining a minimum number of participants, the Organizer will expressly mention it in the event description.

5.2 When falling below the minimum number of participants, the Organizer can – by declaring to the Client – withdraw from the contract until latest seven days before the beginning of the event. The Organizer will inform the customer of his resignation immediately when knowing that the minimum number of participants is not reached, and latest seven days before the beginning of the event.

6.3 If the Organizer does exercise his right to withdraw from the contract according to the preceding paragraph, the Client can switch his/her registration to another Satori Process at the same conditions.

6.4  If the Client does not to exercise his right according to the preceding paragraph, the Organizer will repay a possibly already paid participation fee immediately.

7) Change or Cancellation of an Event

7.1 The Organizer reserves the right to change the time, place of an event, insofar as the change – taking into account the interests of the Organizer – is reasonable for the Client. Solely insignificant changes in performance which become necessary after conclusion of the contract and and which are not caused by the Organizer against an act in good faith are reasonable. In case of any change of time, place, the Organizer will inform the Client about this in a timely manner.

7.2 In case of significant change in performance, the Client can withdraw from the contract free of charge or demand the particitation at an at least equivalent other event instead if the Organizer is able to offer such an event from his event portfolio without extra charge for the Client.

7.3  The Client has to assert the rights according to the preceding paragraph, towards the Organizer immediately after he received the information of the change of the performance by the Organizer.

7.4 For important reasons – such as e.g. force majeure, the consequences of the COVID-19 pandemic, or an illness of the instructor, the Organizer is entitled to cancel the event on short notice, for full refund of a possibly already paid participation fee. In case of the cancellation of the event the Organizer will try for a replacement date.

8) Contractual Right of Withdrawal (Cancellations)

Independant of a possibly existing legal right of withdrawal, the Organizer grants the Client the right to cancel his registration for an event of the Organizer according to the following conditions (contractual right of withdrawal):

8.1. The Client can cancel his registration with a statement to the Organizer in text form (e.g. e-mail) without giving any reasons before the beginning of the event.
In this case, the Clients payment or deposit will be refunded minus a processing fee.

8.2. After the start of the Satori Process, live or online, no refund of any payments is possible, independently of the reason for the Clinets withdrawal.

8.3 A possibly existing legal right of withdrawal is not restricted by the above-mentioned rights.

9) Confidentiality

9.1 All Clients, as well as Facilitators and Organizers agree to strict confidentiality about all that is said and heard in the groups, single sessions and trainings.

10) Warranty

10.1 All topics and contents offered in the events are to be considered as proposals. The Client decides on the base of his own self-responsibility in which way and how deeply he is getting involved into the offered event processes and contents.

10.2 If medical, therapeutical or psychological help is needed, the Organizer highly recommends to turn to a competent healthcare professional. The events of the Organzier are not a substitute for a clinical-therapeutic, medical or psychotherapeutic treatment. Under no circumstances should the customer stop taking medications prescribed by the doctor!

10.3 A normal physical, mental and mental resilience is a prerequisite for participation in the events.

10.4  The Organizer is liable to the customer for all contractual, contract-like and legal, as well as delictional claims for damages and reimbursement of expenses as follows:

10.4.1 The Organizer is fully liable for any legal reason
• in case of intent or gross negligence,
• in case of intentional or negligent injury to life, body or health,
• on the basis of a guarantee promise, unless otherwise stipulated in this regard,
• due to mandatory liability, such as under the Product Liability Act.

10.4.2 The Organizer negligently violates an essential contractual obligation, the liability is limited to the contractually typical, foreseeable damage, unless liability is unlimited in accordance with the preceding paragraph. Significant contractual obligations are obligations which the contract imposes on the Organizer according to its content in order to achieve the purpose of the contract, whose fulfillment enables the proper execution of the contract in the first place, and on whose compliance the Client may regularly rely.

10.5 Furthermore a liability of the Organizer is excluded.

10.6 The above liability regulations also apply with regard to the liability of the Organizer to his vicarious agents and legal representatives.

11) Health restrictions

11.1 Every Client participating in the Satori Process is obliged to inform the Organizer and the Facilitator, if she/he

is in mental or psychiatric treatment

is regularly taking prescription drugs

using psychotropic (drugs) Narcotics

has any medical condition that could interfere with safely attending the Satori Process

This has to be disclosed to the Organizer or the Facilitator before the beginning of the event.

11.2 The Organizer as well as the Facilitator is entitled to exclude a participant from the event at any time, if she/he comes to the conclusion,  that – in accordance with the conditions set out in points 10.1 to 10.3 – the normal physical, mental and mental resilience of the Client (named in point 10.3) is not given.

12) Applicable Law

12.1 For all legal relationships of the parties, the law of the Republic of Austria applies.

13) Alternative dispute resolution

13.1 The EU Commission provides on its website the following link to the ODR platform: https://ec.europa.eu/consumers/
This platform shall be a point of entry for out-of-court resolutions of disputes arising from online sales and service contracts concluded between consumers and traders.

13.2 The Seller is neither obliged nor prepared to attend a dispute settlement procedure before an alternative dispute resolution entity.
